Website Terms of Use
The terms that govern access to and use of this public website. They do not replace a signed customer agreement. Effective 1 September 2026.
Scope
These Website Terms of Use (“Terms”) govern access to and use of websites, pages, materials, forms and public-facing online resources operated under the Tech-Enabled Capital name (collectively, the “Site”).
The Site is operated by Impact Fund LLC, a Wyoming limited liability company, doing business as Tech-Enabled Capital (“TEC,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to these Terms to the extent enforceable under applicable law. If you do not agree, do not use the Site.
1. Business website; separate customer agreements
The Site is intended primarily for business and professional users.
These Terms govern the public Site. They do not replace a separately executed order form, license agreement, services agreement, data processing addendum, nondisclosure agreement or other written agreement between TEC and a customer (“Customer Agreement”).
If a Customer Agreement conflicts with these Terms regarding licensed technology or services covered by that Customer Agreement, the Customer Agreement controls.
Access to the Site alone does not create a customer relationship, fiduciary relationship, advisory relationship, partnership, joint venture, agency or other professional relationship with TEC.
2. No offer; no professional or investment advice
Site content is provided for general business and informational purposes. Nothing on the Site constitutes:
- legal, tax, accounting or regulatory advice;
- investment advice or investment-advisory services;
- broker-dealer, securities, financing or M&A solicitation;
- an offer or commitment to invest, lend, purchase securities or provide financing;
- a fiduciary recommendation;
- a guarantee of any business, financial, operating or investment result except to the extent expressly included in an executed Customer Agreement.
Any discussion of private equity, investment experience, principal investment, strategic alignment or possible future capital relationships is informational only. Any actual investment, securities, financing, board or transaction relationship requires separate diligence, terms, agreements and legal analysis.
3. Commercial statements, pricing and the free trial
The Site may describe expected outcomes, implementation approaches, timing, pricing methodology, capacity or a free trial.
Those descriptions are subject to qualification, eligibility, scope and the executed Customer Agreement.
The 45-day free trial described on this Site is offered subject to qualification and fit. Eligibility, access, security, data handling, confidentiality and how the trial ends are governed by the trial agreement signed for that trial. No payment information is collected for a trial, and a trial does not become a paid license unless the customer affirmatively chooses one.
Any license fee, service level, implementation obligation or commercial commitment is governed by the definitive Customer Agreement applicable to that customer.
Website content does not create an unconditional or perpetual entitlement to any offer.
4. Intellectual property
The Site and its content — including text, design, layout, graphics, diagrams, software, interfaces, technical descriptions, taxonomies, documentation, trademarks, logos and other materials — are owned by TEC or its licensors and protected by applicable law.
TEC grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Site for legitimate internal business evaluation.
No other rights are granted by implication, estoppel or otherwise.
5. Prohibited uses
Except to the extent a restriction is prohibited by applicable law, you may not, and may not permit another person to:
- copy, reproduce, republish, mirror, frame or create a substitute for a material portion of the Site;
- scrape, harvest, crawl, systematically download or use automated means to extract Site content except as expressly authorized by TEC;
- use Site content, technical materials or documentation to train, fine-tune, evaluate or build a competing AI model, dataset, product or commercial service;
- reverse engineer, decompile, disassemble, derive, reconstruct or attempt to discover source code, non-public architecture, methods, prompts, routing logic, security design or proprietary system behavior;
- conduct model extraction, competitive replication or systematic benchmarking intended to reproduce TEC’s proprietary technology or service;
- bypass access controls, rate limits, robots directives, technical restrictions or security measures;
- probe, scan or test the vulnerability of the Site or connected infrastructure without prior written authorization;
- introduce malware or interfere with the integrity or operation of the Site;
- impersonate another person or misrepresent affiliation;
- use the Site unlawfully, fraudulently, or to violate the rights of TEC or others.
TEC reserves all rights and remedies relating to unauthorized access, copying, extraction or use.
6. Confidential or sensitive information
Do not submit trade secrets, credentials, regulated data, sensitive personal information or other confidential information through a general public form unless TEC expressly instructs you to use that channel.
A “Request a Review” or contact form is not, by itself, a secure data room and does not create an NDA.
If TEC and your organization have an executed confidentiality agreement, that agreement controls covered Confidential Information.
7. Materials you submit
You retain ownership of materials you submit to TEC.
You grant TEC a non-exclusive right to use submitted materials as reasonably necessary to respond to your request, evaluate a potential relationship, provide requested Site functionality, protect the Site, prevent abuse and comply with law.
If you voluntarily provide suggestions, ideas, product feedback or recommendations about TEC’s technology or services (“Feedback”), you grant TEC a perpetual, worldwide, irrevocable, royalty-free right to use and incorporate that Feedback without restriction or compensation, provided TEC does not thereby acquire ownership of your underlying Customer Data or Confidential Information.
8. Accounts and client access
If we provide credentials or authenticated access, you are responsible for maintaining their confidentiality and for activity under your account.
You may not share credentials except as authorized by TEC or the applicable Customer Agreement.
We may suspend or restrict access where reasonably necessary to protect security, prevent misuse, comply with law, investigate unauthorized activity or enforce applicable agreements.
9. Third-party services and links
The Site may reference or link to third-party services, software, content or websites.
Third-party services are governed by their own terms and privacy practices. References to third-party companies, technologies, institutions, models or products do not imply endorsement, sponsorship, affiliation or partnership unless expressly stated.
10. Availability and changes
We may modify, suspend, withdraw or discontinue any portion of the Site at any time.
We do not guarantee that the Site will be uninterrupted, error-free, secure, complete, current or available in every jurisdiction.
Historical Site descriptions should not be relied on as current contractual commitments.
11. Disclaimers
To the maximum extent permitted by law, the Site and Site content are provided “as is” and “as available.”
TEC disclaims all warranties, express, implied, statutory or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, completeness and quiet enjoyment.
Without limiting the foregoing, TEC does not warrant that:
- Site content is complete, error-free or current;
- any described technology will be used in every customer deployment;
- any business or financial outcome will occur;
- any AI-generated or model-assisted output is accurate or appropriate for a particular decision;
- the Site will be available without interruption or security event.
Nothing in this section limits an express warranty or guarantee contained in an executed Customer Agreement.
12. Limitation of liability
To the maximum extent permitted by law, TEC and its affiliates, officers, directors, employees, contractors and licensors will not be liable arising out of or relating to the public Site for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill, business opportunity or anticipated savings.
To the maximum extent permitted by law, TEC’s aggregate liability arising out of or relating to the public Site or these Terms will not exceed the greater of US$100 or the amount you paid TEC specifically for access to the public Site during the 12 months before the event giving rise to liability.
The limitations in a Customer Agreement, rather than this section, govern liability arising from licensed technology or services under that Customer Agreement.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
13. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless TEC and its affiliates, officers, directors, employees, contractors and licensors from third-party claims, liabilities, losses, damages and reasonable costs arising from:
- your unlawful or unauthorized use of the Site;
- your violation of these Terms;
- materials you submit that infringe or violate a third party’s rights;
- your attempt to interfere with, scrape, replicate, compromise or misuse the Site.
TEC may control the defense and settlement of any matter subject to indemnification, provided it will not settle a claim in a manner that imposes an admission of wrongdoing or non-monetary obligation on you without your consent, not to be unreasonably withheld.
14. Intellectual-property complaints
If you believe material on the Site infringes your intellectual-property rights, contact legal@techenabledcapital.com with sufficient detail for us to evaluate the claim.
15. Privacy
Our Privacy Policy describes how we process personal information in connection with the Site.
Customer Data processed on behalf of an enterprise customer is governed by the applicable Customer Agreement and DPA.
16. Changes to these Terms
We may update these Terms from time to time.
Material changes will take effect as required by applicable law. Changes to an executed Customer Agreement must be made according to that agreement and are not accomplished merely by updating these Website Terms.
17. Governing law; disputes
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles.
Before filing a formal claim, the parties will attempt in good faith to resolve the dispute informally for at least 30 days after written notice.
If the dispute is not resolved in that period, it will be brought exclusively in the state or federal courts located in Wyoming, and each party consents to the personal jurisdiction of those courts and waives any objection to venue there. These Terms do not require arbitration.
Either party may seek temporary, preliminary, injunctive or other equitable relief in any court of competent jurisdiction where necessary to protect intellectual property, confidential information, security or access rights, or to address unauthorized use or disclosure.
18. Miscellaneous
If any provision is unenforceable, the remaining provisions remain in effect to the maximum extent permitted by law.
Failure to enforce a provision is not a waiver.
You may not assign these Terms without TEC’s prior written consent. TEC may assign these Terms to an affiliate or in connection with a merger, reorganization, financing, sale of assets or change of control.
These Terms, together with policies expressly incorporated into them, constitute the entire agreement governing use of the public Site, subject to any separate Customer Agreement.
